Acebox Terms of Service

Please read these Terms carefully before creating an account, publishing content, buying access, or using Acebox.

These Terms of Service ("Terms") constitute a legally binding agreement between Otoidstar Ventures Inc., a corporation incorporated under the laws of British Columbia and operating under the trade name Acebox ("Acebox", "we", "us", or "our"), and any individual or entity accessing or using the Acebox Platform ("User", "you", or "your").

By creating an account, accessing, browsing, uploading content to, purchasing access to, or otherwise using the Acebox Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any supplemental policies referenced herein.

If you do not agree to these Terms, you must immediately discontinue use of the Acebox Platform.

1. DEFINITIONS

For purposes of these Terms:

"Acebox Platform" means all websites, applications, software, streaming infrastructure, services, technology, communications, and related systems operated by Acebox.

"Streamer" means any User who uploads, broadcasts, distributes, sells, licenses, or otherwise makes content available through the Acebox Platform.

"Viewer" means any User who accesses, views, purchases, or interacts with content available through the Acebox Platform.

"Content" means all video, audio, images, text, metadata, comments, chat messages, recordings, livestreams, user-generated content, and other materials made available through the Acebox Platform.

"Streaming Services" means all livestreaming, video-on-demand, event broadcasting, educational programming, religious programming, music performances, sporting events, and related services provided through the Acebox Platform.

"Third-Party Services" means services provided by independent third parties, including payment processors, analytics providers, cloud hosting providers, advertising providers, and other service providers integrated into the Acebox Platform.

2. THE ACEBOX PLATFORM

Acebox provides a digital platform that allows Streamers to distribute Content to Viewers through livestreams, video-on-demand services, free broadcasts, and pay-per-view events.

Acebox is not the creator, owner, producer, organizer, promoter, or publisher of Content made available by Streamers unless expressly stated otherwise.

Acebox acts solely as a technology platform facilitating access to Content between Streamers and Viewers.

Acebox does not guarantee the quality, legality, accuracy, reliability, availability, or suitability of any Content made available by Streamers.

3. ELIGIBILITY

You must be at least nineteen (19) years of age and capable of entering into legally binding agreements to independently create an account and use the Acebox Platform.

Individuals under the age of nineteen (19) may only use the Acebox Platform under the supervision and with the consent of a parent or legal guardian.

Parents and guardians who permit minors to use the Acebox Platform accept full responsibility for the minor's use of the Platform and compliance with these Terms.

Acebox reserves the right to request proof of age, identity, parental consent, or account ownership at any time.

4. USER ACCOUNTS

To access certain features of the Acebox Platform, Users may be required to create an account.

You agree to:

provide accurate, current, and complete information;

maintain the security of your account credentials;

promptly update account information when necessary;

notify Acebox immediately of unauthorized use of your account.

You are solely responsible for all activity occurring under your account.

Acebox reserves the right to suspend, restrict, or terminate any account that violates these Terms or applicable law.

5. PAY-PER-VIEW EVENTS AND FEES

Certain Content may require payment before access is granted.

Prices are established by Streamers unless otherwise specified by Acebox.

All payments are processed through authorized third-party payment providers, including Stripe and Paystack.

By purchasing access to Content, you authorize Acebox and its payment processors to charge your selected payment method.

Applicable taxes may be added where required by law.

Unless otherwise required by applicable law, payments for pay-per-view events and digital content are non-refundable once access to the Content has been provided.

Acebox reserves the right to correct pricing errors, cancel fraudulent transactions, or refuse purchases where necessary.

6. STREAMER REVENUE SHARING

Streamers may monetize eligible Content through the Acebox Platform. Acebox shall retain a fee not greater than ten percent (10%) of gross revenues generated through monetized Content as its platform fee.

The remaining amount, less any applicable payment processing fees, taxes, chargebacks, refunds, or adjustments, shall be payable to the Streamer.

Streamers become eligible for payout when their available balance reaches a minimum threshold of CAD $500.

Eligible payouts shall generally be processed within three (3) weeks following the conclusion of an event and thereafter on a bi-weekly basis, provided the minimum payout threshold continues to be satisfied.

Acebox reserves the right to delay, withhold, reverse, or recover payments where fraud, copyright infringement, disputes, chargebacks, legal claims, or violations of these Terms are suspected.

7. STREAMER RESPONSIBILITIES

Each Streamer represents, warrants, and agrees that:

(a) the Streamer owns or possesses all necessary rights, permissions, licences, and authorizations required to stream, distribute, display, and monetize the Content;

(b) the Content does not infringe any copyright, trademark, privacy right, publicity right, moral right, or other legal right of any person or entity;

(c) all required permissions have been obtained from performers, artists, speakers, venues, event organizers, rights holders, and any other persons appearing in or contributing to the Content;

(d) the Streamer will comply with all applicable laws, including the Copyright Act (Canada), criminal laws, privacy laws, and consumer protection laws;

(e) the Streamer shall be solely responsible for all taxes, remittances, reporting obligations, and regulatory compliance relating to revenues earned through the Platform;

(f) the Streamer will not upload or distribute Content that is unlawful, misleading, defamatory, fraudulent, obscene, hateful, discriminatory, threatening, or otherwise objectionable.

8. PROHIBITED ACTIVITIES

Users shall not:

violate any applicable law;

impersonate another person or organization;

upload infringing Content;

distribute malware or harmful code;

interfere with platform security;

attempt to gain unauthorized access to systems or accounts;

circumvent payment systems;

engage in fraud or chargeback abuse;

record, redistribute, or commercially exploit Content without authorization;

harass, threaten, intimidate, or abuse other Users;

engage in hate speech, discrimination, or unlawful conduct;

use automated tools to scrape, harvest, or copy platform data.

Acebox may remove Content or terminate accounts for violations of this section.

8b. PLATFORM RULES AND PROHIBITED ACTIVITIES

Users agree not to:

(a) Impersonate any person or entity.

(b) Provide false, inaccurate, or misleading information.

(c) Use the Platform for unlawful purposes.

(d) Interfere with Platform operations.

(e) Attempt to gain unauthorized access to systems, servers, or accounts.

(f) Use bots, scrapers, crawlers, automated scripts, or similar technologies.

(g) Reverse engineer, decompile, or attempt to extract source code.

(h) Sell, transfer, rent, or share accounts.

(i) Circumvent payment systems or attempt to avoid Acebox commissions.

(j) Manipulate view counts, engagement metrics, or payment mechanisms.

(k) Harass, abuse, threaten, or discriminate against other Users.

(l) Upload malicious software or code.

(m) Use the Platform in a manner that damages Acebox's reputation or business operations.

8c. PROHIBITED CONTENT

Users may not upload, stream, transmit, publish, distribute, or otherwise make available content that:

(a) Violates the Law

Violates any applicable law, regulation, court order, or governmental requirement.

(b) Infringes Intellectual Property Rights

Violates the copyright, trademark, patent, trade secret, moral rights, or other proprietary rights of another person or entity.

(c) Contains Child Sexual Abuse Material

Contains, promotes, facilitates, or depicts child sexual abuse material or exploitation.

Any such content will be reported to law enforcement authorities.

(d) Promotes Violence

Promotes, glorifies, encourages, or incites: Violence; Terrorism; Criminal activity; Hate speech; or Violent extremism.

(e) Contains Fraudulent Material

Promotes fraud, scams, deceptive conduct, or unlawful financial schemes.

(f) Harasses Others

Contains content that is: Threatening; Harassing; Defamatory; Abusive; Intimidating; or

Intended to cause harm to another person.

(g) Contains Malicious Software

Contains viruses, malware, spyware, ransomware, or other harmful code.

(h) Violates Privacy Rights

Publishes private or confidential information without authorization.

(i) Contains Obscene or Illegal Material

Contains material that is unlawful, obscene, or prohibited under applicable Canadian law.

9. CONTENT OWNERSHIP

Streamers retain ownership of Content they upload to the Acebox Platform.

By uploading or streaming Content, the Streamer grants Acebox a worldwide, non-exclusive, royalty-free, sublicensable licence to: host; store; reproduce; distribute; transmit; display; perform; market; promote; and make available such Content solely for the operation, administration, promotion, security, and improvement of the Acebox Platform.

This licence continues for as long as the Content remains available on the Platform and for a reasonable period thereafter necessary for backup, archival, legal, or operational purposes.

9.1 Ownership of User Content

Acebox does not claim ownership of content uploaded, streamed, published, transmitted, or otherwise made available by Users through the Platform ("User Content").

Subject to the rights granted to Acebox under this Agreement, Streamers and other Users retain all ownership rights, copyrights, trademarks, and other intellectual property rights in and to their User Content.

For the purposes of this Agreement, User Content includes, without limitation:

Live-streamed events; Video-on-demand content; Music performances; Religious services; Educational programming; Sporting events; Images; Audio recordings; Text; Comments; Chat messages; Profile information; and Any other content submitted through the Platform.

Users are solely responsible for all User Content they upload, publish, stream, transmit, or otherwise make available through Acebox.

9.2 Licence Granted to Acebox

By uploading, posting, streaming, transmitting, or otherwise making User Content available through the Platform, you grant Acebox a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to: Host; Store; Reproduce; Cache; Process; Encode; Distribute; Display; Stream; Perform; Publish; Archive; and Otherwise use such User Content solely for the purposes of: Operating the Platform; Providing streaming services; Delivering purchased content to viewers; Promoting Acebox and the streamed event; Improving Platform functionality; Investigating violations of this Agreement; and Complying with legal obligations.

This licence continues for as long as the User Content remains available on the Platform and for any reasonable archival period required for legal, security, accounting, fraud prevention, or operational purposes.

9.3 Streamer Representations and Warranties

If you upload or stream content through Acebox, you represent and warrant that:

(a) Ownership or Rights

You own all rights necessary to stream, upload, distribute, perform, and monetize the content through the Platform, or have obtained all necessary permissions, licences, consents, and authorizations.

(b) Copyright Compliance

Your content does not infringe: Copyrights; Trademarks; Patents; Trade secrets; Moral rights; Privacy rights; Publicity rights; or Any other intellectual property rights.

(c) Music Rights

If your content contains music, you represent and warrant that you have obtained all required rights and licences, including any necessary permissions from:

Copyright owners; Record labels; Publishers; Collective rights organizations; Performers; and Any other rights holders.

Acebox does not obtain music licences on behalf of Streamers.

The responsibility for obtaining all required licences remains solely with the Streamer.

(d) Event Rights

If you stream sporting events, concerts, conferences, religious services, educational programs, or other live events, you represent and warrant that you possess all legal rights necessary to broadcast such events through Acebox.

(e) Accuracy

All information provided to Acebox concerning your content is accurate, complete, and not misleading.

9.4 User Responsibility for Content

Users are solely responsible for: Their content; Their broadcasts; Their communications; Their interactions with viewers; Their compliance with applicable laws; and Any consequences arising from publication of content.

Acebox does not pre-screen all content and is not responsible for monitoring every stream or upload.

Acebox respects intellectual property rights.

Copyright owners who believe Content available on the Acebox Platform infringes their rights may submit a written notice containing:

identification of the copyrighted work;

identification of the allegedly infringing material;

contact information;

a statement of ownership or authorization; and

a statement that the information provided is accurate.

Acebox reserves the right to remove allegedly infringing Content, suspend accounts, and terminate repeat infringers.

If you believe content available on Acebox infringes your copyright, you may submit a written notice to:

The notice should include:

Identification of the copyrighted work;

Identification of the allegedly infringing content;

Your contact information;

A statement of good-faith belief that the use is unauthorized;

A statement that the information provided is accurate; and

Your signature or electronic signature.

Acebox may remove, disable access to, or investigate allegedly infringing content at its discretion.

Repeated copyright infringement may result in account suspension or termination.

11. PRIVACY

Acebox collects, uses, stores, and discloses personal information in accordance with its Privacy Policy and applicable privacy laws, including:

the Personal Information Protection and Electronic Documents Act (Canada);

the Personal Information Protection Act (British Columbia); and

other applicable privacy legislation.

By using the Platform, you consent to such collection, use, disclosure, and processing of personal information.

12a. COMMUNICATIONS

By creating an account, you consent to receive communications relating to: account administration; security notifications; payment confirmations; service updates; legal notices; customer support matters.

Where required by applicable law, marketing communications shall only be sent with your consent and may be withdrawn at any time by using available unsubscribe mechanisms.

12b. ACCOUNT SUSPENSION AND TERMINATION

Acebox may suspend, restrict, terminate, or permanently ban a User account where:

This Agreement is violated; Fraud is suspected; Copyright infringement is alleged; Illegal activity is detected; Payment fraud occurs; Security risks arise; or Acebox reasonably believes action is necessary to protect the Platform, its Users, or the public.

Where appropriate, Acebox may provide notice and an opportunity to remedy the issue before termination.

However, Acebox reserves the right to take immediate action where required for security, legal, regulatory, or safety reasons.

Termination does not relieve a User of obligations incurred before termination.

13. PRIVACY AND PERSONAL INFORMATION PROTECTION

13.1 Commitment to Privacy

Acebox respects the privacy of its Users and is committed to protecting personal information in accordance with applicable Canadian privacy laws, including:

The Personal Information Protection and Electronic Documents Act (PIPEDA);

The Personal Information Protection Act (British Columbia) (PIPA); and

Any other applicable federal or provincial privacy legislation.

By creating an account, accessing, or using the Platform, you consent to the collection, use, disclosure, retention, and processing of your personal information as described in this Agreement and the Acebox Privacy Policy.

13.2 Information Collected

Acebox may collect and process:

Account Information

Name; Email address; Telephone number; Date of birth; Username; Profile photo

Payment Information

Payment processing is conducted through third-party payment providers including Stripe and Paystack.

Acebox does not store complete payment card details.

Platform Usage Information

Viewing activity; Purchase history; Streaming activity; Device information; Browser information; IP address; Log files; Session data

Communications

Support requests; Feedback; Surveys; Correspondence with Acebox

13.3 Use of Personal Information

Acebox may use personal information to:

Provide and operate the Platform; Verify identities; Process payments and payouts; Deliver purchased content; Improve Platform functionality; Prevent fraud and abuse; Provide customer support; Communicate with Users; Comply with legal obligations; Enforce this Agreement; and Promote Acebox services where consent has been obtained or is otherwise permitted by law.

13.4 Disclosure of Information

Acebox may disclose personal information:

To payment processors; To cloud hosting providers; To service providers assisting with Platform operations; To legal and regulatory authorities when required by law; During corporate transactions such as mergers, acquisitions, reorganizations, or asset sales; or With your consent.

Acebox does not sell personal information to third parties.

13.5 International Data Transfers

Personal information may be stored or processed outside Canada.

Where information is processed outside Canada, it may become subject to the laws of the jurisdiction in which it is stored or processed.

Acebox will take reasonable contractual and technical measures to ensure adequate protection of personal information.

13.6 Retention of Information

Acebox retains personal information only for as long as reasonably necessary:

To provide services; To comply with legal obligations; To resolve disputes; To enforce agreements; or To maintain business records.

Financial and transactional records may be retained for at least seven (7) years or longer where required by law.

13.7 User Rights

Subject to applicable law, Users may:

Request access to personal information;

Request correction of inaccurate information;

Withdraw consent where legally permitted;

Request deletion of certain personal information.

14. DISCLAIMERS AND SERVICE AVAILABILITY

14.1 Platform Provided "As Is"

The Platform is provided on an "as is" and "as available" basis.

To the fullest extent permitted by applicable law, Acebox disclaims all representations, warranties, and conditions, whether express, implied, statutory, or collateral, including implied warranties or conditions of: Merchantability; Fitness for a particular purpose; Accuracy; Non-infringement; and Availability.

14.2 No Guarantee of Availability

Acebox does not guarantee: Continuous operation; Uninterrupted service; Error-free functionality; Availability of any stream; Viewer attendance; Revenue generation; or Compatibility with all devices.

Temporary interruptions may occur due to: Maintenance; Technical failures; Network outages; Cybersecurity incidents; or Circumstances beyond Acebox's control.

14.3 Third-Party Content

Acebox does not endorse, verify, or guarantee: Streamer content; Viewer comments; User-generated content; or Third-party services.

Users access such content at their own risk.

15. LIMITATION OF LIABILITY

15.1 Exclusion of Certain Damages

To the fullest extent permitted by law, Acebox and its directors, officers, shareholders, employees, contractors, affiliates, successors, and agents shall not be liable for:

Indirect damages;

Incidental damages;

Special damages;

Consequential damages;

Exemplary damages;

Punitive damages;

Loss of profits;

Loss of revenue;

Loss of goodwill;

Loss of business opportunities;

Data loss; or

Business interruption.

15.2 Maximum Liability

To the fullest extent permitted by law, Acebox's total aggregate liability arising from or related to the Platform shall not exceed the greater of:

(a) CAD $100; or

(b) The total fees paid by you to Acebox during the twelve (12) months immediately preceding the event giving rise to the claim.

15.3 Consumer Rights

Nothing in this Agreement excludes or limits rights that cannot legally be excluded under applicable Canadian consumer protection legislation.

16. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Acebox, Otoidstar Ventures Inc., its affiliates, officers, directors, employees, contractors, agents, and representatives from and against any claims, losses, liabilities, damages, judgments, costs, penalties, fines, and expenses, including reasonable legal fees, arising from:

Your use of the Platform;

Your User Content;

Your violation of this Agreement;

Your infringement of intellectual property rights;

Your violation of applicable laws;

Your breach of representations or warranties; or

Claims arising from events streamed through your account.

This indemnity survives termination of this Agreement.

17. DISPUTE RESOLUTION

17.1 Good Faith Resolution

Before commencing legal proceedings, the parties agree to attempt to resolve disputes through good-faith discussions.

A party must provide written notice describing the dispute and the relief sought.

The parties shall attempt resolution within thirty (30) days.

17.2 Mediation

If a dispute cannot be resolved through negotiation, the parties agree to first attempt mediation in British Columbia before commencing arbitration or court proceedings.

Unless otherwise agreed, mediation shall occur in Vancouver, British Columbia.

17.3 Arbitration

Except where prohibited by law, disputes arising out of or relating to this Agreement shall be finally resolved through confidential arbitration under the Arbitration Act (British Columbia).

The arbitration shall:

Be conducted by a single arbitrator;

Take place in Vancouver, British Columbia;

Be conducted in English;

Proceed on an individual basis only.

The arbitrator may award any remedy available under applicable law.

The arbitrator's decision shall be final and binding.

17.4 Exceptions

Nothing prevents either party from:

Seeking injunctive relief;

Protecting intellectual property rights;

Pursuing claims in the Civil Resolution Tribunal or Small Claims Court where jurisdiction exists.

17.5 No Class Proceedings

To the fullest extent permitted by law, Users agree that disputes shall be brought only on an individual basis and not as:

Class actions;

Representative actions;

Collective proceedings; or

Group claims.

18. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and interpreted in accordance with:

The laws of the Province of British Columbia; and

The federal laws of Canada applicable therein.

Subject to Section 17, the parties irrevocably attorn to the exclusive jurisdiction of the courts of British Columbia located in Vancouver, British Columbia.

19. GENERAL PROVISIONS

19.1 Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning the Platform.

19.2 Amendments

Acebox may amend this Agreement from time to time.

Material changes will be communicated through:

Email;

Platform notifications; or

Website publication.

Continued use of the Platform after changes become effective constitutes acceptance of the revised Agreement.

19.3 Assignment

Acebox may assign or transfer this Agreement without restriction.

Users may not assign rights or obligations without Acebox's prior written consent.

19.4 Force Majeure

Acebox shall not be liable for delays or failures caused by events beyond its reasonable control, including:

Natural disasters; Epidemics; Pandemics; Government actions; Telecommunications failures; Labour disputes; Cyberattacks; or Utility interruptions.

19.5 Severability

If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

19.6 No Waiver

Failure to enforce any provision shall not constitute a waiver of future enforcement.

19.7 Notices

Legal notices to Acebox shall be delivered to:

Acebox may provide notices to Users through:

Email;

Account notifications; or

Website announcements.

20. ACEBOX PRIVACY POLICY

Effective Date

June 10, 2026

This Privacy Policy explains how Acebox collects, uses, stores, shares, and protects personal information when Users access the Platform.

20.1 Scope

This Privacy Policy applies to:

Viewers; Streamers; Website visitors; Event organizers; and Any person using the Acebox Platform.

20.2 Information Collected

Acebox may collect:

Identity Information: Name; Date of birth; Profile information

Contact Information: Email address; Telephone number

Payment Information: Stripe transaction information; Paystack transaction information; Payout information

Technical Information: Device identifiers; Browser type; IP address; Operating system; Log files

Usage Information: Viewing history; Purchases; Streaming activity; Search activity; Account interactions

20.3 Purpose of Collection

Information is collected to: Operate the Platform; Process purchases; Deliver content; Pay Streamers; Detect fraud; Improve services; Communicate with Users; Comply with legal obligations; and Market Acebox services where permitted.

20.4 Cookies and Analytics

Acebox may use: Cookies; Pixels; Analytics tools; Session technologies; and Similar technologies. Users may manage cookies through browser settings.

20.5 Security

Acebox employs reasonable administrative, technical, and physical safeguards to protect personal information.

However, no system can guarantee absolute security.

20.6 Children's Information

Users under nineteen (19) years of age may only access the Platform with the consent and supervision of a parent or legal guardian.

Acebox does not knowingly collect information from children in violation of applicable laws.

20.7 Access and Correction Rights

Users may request access to or correction of personal information by contacting Acebox.

20.8 Changes to Privacy Policy

Acebox may update this Privacy Policy from time to time.

Material changes will be communicated through reasonable notice mechanisms.
